HB 40: Proposed Legislation to Expand the Jurisdiction of the Business Court

House Bill 40 contains several amendments to Chapter 25A of the Texas Government Code expanding and clarifying the jurisdiction of the business court, including:


  • defining and adding a "fundamental business transaction" to the court's jurisdiction (defined as "a merger, interest exchange, conversion, or sale of all or substantially all of an entity's assets.")

  • including certain types of actions related to an insurance contract

  • adding legal malpractice claims

  • removing the requirement that the business court has supplemental jurisdiction over certain claims based on agreement of the parties.
